Sammy AI Terms of Service

Sammy is a web application designed to assist tradespeople and contractors with creating estimates and managing jobs. The Service uses information you provide, including through AI-powered features, to generate business documents and insights.

You must be at least 18 years old to use the Service.

When you create an account, you agree to provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You are solely responsible for all data, information, and content that you upload, post, or otherwise transmit via the Service (“User Content”). This includes, but is not limited to, your personal details, client information, and job data.

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Violate the privacy or data protection rights of others. You represent and warrant that you have obtained all necessary consents from your clients to store and process their personal information within the Service.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Upload or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service.

You retain all ownership rights to your User Content.

However, by submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business, including for the purposes of providing, improving, and developing the Service. This license is solely for the purpose of operating and providing the Service to you.

The Service includes features that use artificial intelligence (AI) to generate content, such as job estimates. You acknowledge and agree that:

• The output generated by the AI features is based on the data you provide and is for informational purposes only.
• AI-generated content may contain errors, inaccuracies, or be incomplete. It is not a substitute for your professional judgment.
• You are solely responsible for reviewing, editing, and verifying the accuracy of all AI-generated content before using or sharing it.
• We disclaim all liability for any reliance you place on AI-generated content.

If you subscribe to a paid plan, you agree to pay all applicable fees as described on our pricing page. All fees are in Australian Dollars (AUD) and are exclusive of any applicable taxes, such as GST, which you are responsible for paying.

We use a third-party payment processor (e.g., Stripe) to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor.

Subscriptions will automatically renew for the same period unless you cancel your subscription through your account settings before the end of the current billing period.

Excluding your User Content, you acknowledge that all intellectual property rights in the Service, including the underlying software, technology, branding, and content we provide, are owned by or licensed to us. You agree not to copy, modify, rent, sell, distribute, or create derivative works based on the Service, in whole or in part.

You can stop using the Service and terminate these Terms at any time by deactivating your account.

We may suspend or terminate your access to the Service at any time, with or without cause or notice to you, if we believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your account and User Content upon termination. Sections 4, 7, 9, 10, 11, and 12 of these Terms shall survive termination.

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without any warranties of any kind, either express or implied.

Nothing in these Terms purports to modify or exclude the conditions, warranties, and other legal rights under the Australian Competition and Consumer Act 2010 (Cth) and other Australian Consumer Law. Where liability cannot be excluded, our liability is limited to, at our option, the re-supply of the Service or the payment of the cost of having the Service supplied again.

To the maximum extent permitted by applicable law, in no event shall UBUILDA PTY LTD, its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of the amount you paid us, if any, in the 12 months preceding the claim, or one hundred Australian dollars (AUD $100).

You agree to defend, indemnify, and hold harmless UBUILDA PTY LTD and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

These Terms shall be governed and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
